1. Who we are

These Terms govern your use of the Venture Lab services (the "Services"), operated by Roee (Beta operator), Business type: pending, business ID Business ID: pending, address Business address: pending, Israel ("we", "us"). Contact: the in-app support form (https://venturelab-app.onrender.com/app/support).

Merchant of record. Purchases are processed by Paddle.com Market Limited or its affiliate ("Paddle"), which acts as reseller and merchant of record. Paddle's Buyer Terms (https://www.paddle.com/legal/invoiced-consumer-terms) govern the payment transaction, invoicing, taxes and payment refunds; these Terms govern your use of the Services.

2. The Services

Software tools named on our website (currently ten products). Some are labelled Beta: they may change or be withdrawn and have no uptime commitment. Product names refer to compatibility only: we are not affiliated with, endorsed or sponsored by Microsoft, Shopify, HubSpot, GitHub, Amazon, Google, CNCF or any government body; their names are trademarks of their owners.

3. Accounts; business and consumer customers

You must be at least 18, provide accurate information and keep credentials confidential. If you use the Services for your trade, business or profession ("Business Customer"), you confirm you may bind your organization. If you are an individual acting outside your trade or profession ("Consumer"), mandatory consumer-protection rules of your country of residence apply in addition to these Terms and prevail where they give you more rights.

4. Nature of results — no professional advice

Outputs are automated signals generated from data you provide or from public sources. They are not financial, tax, legal, accounting, procurement or security advice. Cost findings are estimates, not verified savings; tax-related findings must be verified with your accountant/platform; tender matches must be verified against the official publication; monitoring may miss events and does not replace your own controls.

5. Your responsibilities; third-party platforms and sites

• Use is subject to the Acceptable Use Policy (AUP).
• You may only submit data you are entitled to share with us, and only monitor domains, URLs and APIs you own or are authorized to monitor. When you export data from a third-party platform (e.g. Azure, Shopify, HubSpot, GitHub) and upload it, you are responsible for complying with that platform's terms and with privacy law toward the people in that data.
• SaaS Price Watch and similar features fetch pages you choose. We honour robots.txt and identify our crawler, but you are responsible for ensuring that monitoring a page does not breach that site's terms.
• Where your content contains personal data, the Data Processing Addendum (DPA) applies and forms part of these Terms.

6. Plans, trials, renewals and cancellation

• Prices, plan limits, billing period and taxes are shown at checkout before you pay. Paid subscriptions renew automatically for the same period until cancelled.
• Free trials do not require a card. At the end of a trial your account returns to the Free plan automatically; nothing is charged unless you actively subscribe.
• Cancel anytime online in Settings → Billing or by email to the in-app support form (https://venturelab-app.onrender.com/app/support). Cancellation stops future renewals and takes effect no later than 3 business days after we receive it (Israeli Consumer Protection Law, continuing transactions); paid access continues until the end of the period already paid unless you exercise a statutory cancellation right below.
• Statutory cancellation (Consumers): Israeli Consumers may cancel a distance transaction within 14 days of the transaction or of receiving the disclosure document, whichever is later (4 months for eligible senior citizens, persons with disabilities and new immigrants where the law applies), subject to a cancellation fee of no more than 5% of the price or NIS 100, whichever is lower, and to the statutory exception for "information" within the meaning of the Computers Law (e.g. downloaded digital content). EU/EEA/UK Consumers have a 14-day right of withdrawal; for digital content and services that start immediately at your express request, the right is lost/reduced as described at checkout. See the Refund Policy for how to cancel.

7. Your data

You retain ownership of data you submit and grant us a limited licence to process it solely to provide the Services, as described in the Privacy Policy and DPA. You can export your data and delete your account from Settings (deletion completes after a 30-day grace period).

8. Intellectual property

We retain all rights in the Services. Templates and kits are licensed under the licence shown at purchase (Template Store Licence / Career Kits Licence). Feedback may be used without obligation.

9. Changes

We may modify the Services and these Terms with at least 30 days' notice by email or in-app for material changes. Changes to paid plans take effect at the next renewal; you may cancel before then.

10. Disclaimers and limitation of liability

To the extent permitted by law, the Services are provided "as is". Our aggregate liability is limited to the amounts you paid in the 12 months before the claim, and we are not liable for indirect or consequential losses. These limits do not apply to liability that cannot be limited by law (including toward Consumers, and for fraud, wilful misconduct, or death/personal injury caused by negligence).

11. Suspension and termination

We may suspend accounts for AUP breaches, non-payment, or security risk, with notice where practicable. You may cancel at any time.

12. Export controls and sanctions

You may not use the Services if you are located in, or are a person subject to, comprehensive sanctions applicable to us or our providers.

13. Governing law and jurisdiction

Israeli law; exclusive jurisdiction of the competent courts in City: pending, Israel. Consumers keep the protection of mandatory laws and courts of their country of residence. EU consumers may also use their national consumer dispute bodies.
